NOTICE OF SPECIAL RESOLUTION

Notice is hereby given for a proposed special resolution to be put to the General Meeting. The special resolution seeks to amend the Tourism Central Australia Constitution.

The TCA Board seeks to move the following special resolution:

“That Section 27 (4) be deleted”

Explanation:

Section 27 (4) puts in place a condition where a Board Director cannot re-contest an election after three consecutive terms.

This amendment to the constitution ensures members have the right to choose their representatives to be elected on the Board while also supporting longevity of those who wish to take on such responsibility. Effectively, this amendment will see no conditions or rules that inhibit the right of members (except for those prescribed by the Associations Act) to nominate and elect who they wish. The power of who is elected or not elected on the Board will rest with the members.

While the Board notes the reasoning why such a rule was put in place, it now argues that with the reduction in the size of the industry it feels the power of who should stand be modernised and held by the members of the association at their Annual General Meeting.
